1. Acceptance and Privacy
b. If you do not agree to these Ts and Cs, you are not authorized to access Maps and you must notify us and your organisation immediately.
c. We may update these Ts and Cs in our sole discretion at any time, by posting the new terms on our Maps Portal.
2. Log-In Details
In order to access Maps, you will be asked for your corporate email address and you will be sent a unique sign-in link. You agree that:
(a) your access to Maps is only for your personal use, and you will not access materials for a third party;
(b) you will not permit anyone else to use your access to Maps;
(c) you will keep your email with the sign-in link confidential; and
(d) you will inform us immediately if: (i) you believe that someone has gained unauthorized access to your account; and/or (ii) your access link has been shared with a third party.
3. Acceptable Use
You agree to the following in your use of Maps:
(a) to fully comply with all applicable laws and regulations;
(b) not to share, distribute, forward, copy, reproduce in any form or provide access to the Content with anyone who is not an authorized user of Maps within your own organisation, except where required to disclose specific Content by law or by regulation (and then, to the fullest extent permissible by law, to notify us of such disclosure as soon as reasonably practicable);
(c) only to view and print the Content within your own organisation provided that you do not remove any trademarks, copyright, proprietary notices or disclaimers;
(d) not to reverse engineer, decompile, copy or adapt any software or other code scripts forming part of Maps;
(e) not to transmit any virus, malware or other harmful or disruptive content onto Maps including spamming;
(f) not to access Maps to develop or create a competing product or service;
(g) not to sublicence, re-sell or distribute Maps or any of the Content;
(h) not upload any content that is harmful, hateful, unlawful, obscene, defamatory or infringes privacy or intellectual property rights;
(i)not to violate or encourage others to violate any intellectual property rights.
4. Intellectual Property
(a) Third Bridge reserves all copyright, intellectual and other property rights in the Content. Any modification, reformatting, copying, displaying, distributing, transmitting, publishing, licensing, creating derivative works from, transferring or selling any Content is strictly prohibited.
(b) We own or are licensed to use all of the intellectual property in Maps and its Content and we reserve all our rights except as expressly granted in these Ts and Cs.
5. Disclaimer and Limitation of Liability
(a)Access to Maps, its Content, products and services are provided on an “as is” and “as available” basis. We do not make any warranties or representations, expressed or implied, including but not limited to warranty of merchantability, quality, non-infringement, fitness for a particular purpose or warranty of assumption of responsibility for Maps or its Content. You assume all risk of use. No warranty is given that the services will be error-free, free of viruses or uninterrupted. We are not responsible for invalid destinations and transmission errors in, corruption of, or the security of information carried over telecommunications carriers’ or other providers’ facilities. We have no liability for faulty or interrupted communication links.
(b) We will not be liable to you or any third party for any direct, special, indirect, consequential, punitive or incidental damages or loss of profits incurred arising out of, or relating to, the use or inability to use Maps or any Content of Maps. Third Bridge expressly disclaims any responsibility for any opinions or views expressed in the Content.
(c) Nothing in these Ts and Cs excludes or limits our liability for death or personal injury or for any other losses which cannot be excluded or limited by law.
(d) We are not responsible for links on Maps to third party websites or materials, products, information or services on or accessible through any website not operated by us, where your access and use of such websites remains at your own risk.
(e) The Content is for informational purposes only and does not constitute a trade recommendation and should not form the basis of any investment decision. The Content has not, is not, and should not be construed as an offer, bid or solicitation in relation to any financial instrument, security, commodity or futures instrument or as an endorsement, recommendation or sponsorship of any financial instrument, security, commodity or futures instrument, or as investment, tax, accounting or legal advice.
(f) Specialists are not employees, agents or sub-contractors of Third Bridge. They are independent individuals. The views expressed in the Content are those of the Specialist and not those of Third Bridge. Third Bridge is not responsible for the Content and accepts no liability in respect of it
(g) We do not offer any recommendation to buy, sell or hold any security whether it is referred to in any Content or not. (h) You are responsible for any material that you upload to Maps.
(a) Your licence and access to Maps will be suspended or terminated immediately in accordance with any other overarching agreement we have in place granting you access and a licence to Maps as an authorized user.
(b) We may also terminate or suspend your and access to Maps immediately in our sole discretion and without notice if we reasonably believe that you have breached these Ts and Cs. We expressly exclude our liability for actions taken in response to breaches of these Ts and Cs.
(a) If any of these Ts and Cs are determined to be void, invalid or otherwise unenforceable, such provisions (or part thereof) will be enforced to the fullest extent possible to be consistent with these Ts and Cs, and the remainder of these Ts and Cs will continue in full force and effect.
(b) No failure or delay on our part in exercising any power, right or remedy under these Ts and Cs shall operate as a waiver of such right, power or remedy.
(c) These Ts and Cs are governed by English Law and the courts of England and Wales will have exclusive jurisdiction to settle any disputes or claims in relation to these Ts and Cs.
